Guidelines for Use of P2P Merchant Voucher Management Tool

These Guidelines (“Guidelines”) describe the intended use of the P2P Merchant Voucher Tool (“Tool”) provided by Nest Trading Limited and/or its affiliates (“Binance”, “Company,” “we,” “us,” or “our”). By accessing or using the Tool, you, the merchant (“Merchant,” “you,” or “your”), shall ensure that you follow these Guidelines at all times. . 

1. Purpose and Scope

The Tool is provided by Binance solely as a technical platform to enable Merchants to independently create, manage, and administer their own rebate campaigns (“Campaigns”) targeted at P2P buyers.

Binance acts solely as the provider of the Tool and does not participate in, control, monitor, or endorse any Campaign created by Merchants. All Campaigns are independently created and managed by Merchants without Binance’s involvement.

2. Acknowledgement 

By using the Tool you acknowledge that:

  • All rights and responsibilities related to the creation, operation, and execution of your Campaigns rest exclusively with you.
  • You shall be solely responsible for determining Campaign parameters including regional eligibility, rebate ratios, duration, and other applicable conditions.
  • You must ensure that your Campaigns shall comply with all applicable laws, regulations, and Binance’s policies.
  • You shall be responsible for funding all rebate liabilities and any other obligations arising from your Campaigns.
  • Binance does not review, approve, endorse, or guarantee any Campaign content, parameters, or outcomes.
  • Binance provides no warranties or assurances as to the performance, effectiveness, or legality of your Campaigns.

3. Campaign Funding 

  • You shall deposit and maintain sufficient digital assets  in your Binance Account as required by the Tool to secure your rebate obligations prior to activation of any Campaign.
  • Binance may block such digital assets solely for facilitating rebates as triggered by Campaigns, without implication of responsibility or liability for Campaign execution.
  • By creating a Campaign you authorise Binance to debit your Binance Account for the respective amount of the digital assets used for the purposes of any Campaign.

4. Disclaimer of Liability

  • Binance expressly disclaims any liability or responsibility arising out of or related to your Campaigns, including but not limited to, improper, illegal, or unethical conduct by you or participants in the Campaign.
  • Binance shall not be liable for any damages or losses resulting from your use of the Tool or from any Campaign outcomes.

5. Termination and Suspension

  • Binance may suspend or terminate access to the Tool for any Merchant who violates these Guidelines, Binance’s General Terms of Use or relevant Product Terms, or engages in conduct detrimental to Binance or other users.
  • Suspension or termination of Tool access does not relieve you of any obligations relating to outstanding Campaign liabilities or escrowed funds.
